Sydekyks Sustainable Use License Version 1.0 — 13 October 2026 Identifier: LicenseRef-Sydekyks-Sustainable-Use-1.0 1. Scope and existing rights This license applies only to original contributions for which iBAS Software FR, iBAS Software Inc., or a contributing copyright holder has authority to grant these rights (the Licensor), first published under this license after the MIT baseline identified in LICENSE_SCOPE.md (the Covered Software). Upstream components, third-party materials, and contributions already available under MIT or another license retain their existing licenses. This license does not withdraw or restrict rights previously granted for those versions or materials. A mixed file remains subject to the applicable licenses for its respective portions. The same is true of compiled distributions. 2. Free use and modification Subject to these terms, the Licensor grants you a non-exclusive, worldwide, royalty-free copyright license to use, reproduce, modify, and prepare derivative works of the Covered Software for personal, non-commercial, and internal business purposes. All available features are included. No license key, activation, trial period, expiry, seat fee, or paid feature unlock is required. You may use the Covered Software within your business to deliver your own goods or services, including running workflows whose customers receive their outputs, provided that you do not offer the Covered Software's substantial functionality to third parties as a platform, product, or hosted or managed service. 3. Free redistribution You may share source code, copies, and modifications free of charge for uses permitted by this license. Recipients must receive this license and all applicable copyright, attribution, and third-party notices. You must prominently identify your modifications. Redistribution does not give recipients any rights beyond the applicable licenses or a separate written authorization from the Licensor. 4. Competing hosting Except as authorized in section 6, you may not provide the Covered Software or derivative works to third parties as a hosted, managed, white-label, embedded, or other service that gives them access to a substantial set of its workflow, agent, integration, or platform functionality. This restriction applies whether access is provided through the original interface, a replacement interface, an API, an MCP endpoint, an agent, or another technical means, and whether the service is charged separately, bundled with another offering, or offered free. Ordinary infrastructure rental where the customer independently operates its installation, and delivery of workflow outputs without platform access, do not by themselves constitute competing hosting. 5. Resale and permitted professional services Except as authorized in section 6, you may not sell, sublicense for a fee, rent, or commercially redistribute the Covered Software or derivative works as a software product, paid download, paid software license, or substantially equivalent white-label offering. You may charge for installation, configuration, customization, training, consulting, maintenance, and support for an installation owned and controlled by your customer and used for purposes permitted by this license. Incidental delivery of the software as part of that work is permitted, provided that the software itself is supplied without a license or copy fee and the customer remains responsible for operating its installation. You may use remote access to provide these services on the customer's infrastructure. Merely naming a competing hosted service or software resale a support or consulting service does not make it permitted. 6. Authorized partners A partner may offer hosting, managed services, support, or resale to the extent expressly authorized by a separate written partner or reseller agreement with the Licensor holding the relevant rights. That agreement specifies the permitted activities, customers, duration, branding, commercial arrangements, and any other conditions. The authorizing Licensor must hold the rights necessary to authorize the relevant contributions. A claim of partner status without such an agreement does not grant an exception. Partner authorization does not add feature gates or activation requirements to the software. The Licensor may offer hosting and support for software it owns or is authorized to license. Infrastructure, connected applications, and AI providers may charge their own fees independently of this license. 7. Notices and trademarks You must preserve applicable license, copyright, and attribution notices and identify changes without implying that they are endorsed by the Licensor. This license grants no trademark rights or right to misrepresent an affiliation, endorsement, or authorized partner status. Lawful descriptive references remain subject to applicable trademark law. 8. Patents The Licensor grants a royalty-free patent license for claims it controls that are necessarily infringed by its Covered Software as supplied. This grant does not cover claims introduced solely by your modifications or combinations. If you initiate a patent claim alleging that the Covered Software infringes a patent, this patent grant to you ends when that claim is filed. 9. Termination and remedy Rights under this license terminate if you violate its terms. If you cure a first violation within 30 days after receiving written notice from the Licensor, your rights are reinstated retroactively. Subsequent violations may result in permanent termination of this license. Termination under this license does not terminate independent rights you hold under MIT, another third-party license, or a separate agreement. 10. No warranty or liability To the extent permitted by applicable law, the Covered Software is provided "as is", without warranties, including merchantability, fitness for a particular purpose, and non-infringement. The Licensor is not liable for claims or damages arising from the Covered Software or its use. Nothing in this license excludes liability or rights that applicable law does not permit to be excluded. A separate hosting or support agreement may provide its own service commitments. 11. Other rights and contact Rights not expressly granted are reserved. Derivative works containing Covered Software remain subject to these terms for the Covered Software; you retain ownership of your original additions. Changing this license file or removing notices does not grant permission for competing hosting or resale. Requests for partner authorization or questions: info@sydekyks.com.
